Terms of Service
Business terms governing use of GarageOS and enabled Renvori services.
Agreement. These Terms of Service ("Terms") are a binding business-to-business agreement between Renvori Inc. ("Renvori", "we", "us") and the organization that creates, claims, purchases, or uses a GarageOS or Renvori account ("Customer", "you"). The individual accepting these Terms represents that they have authority to bind the Customer. If you do not have that authority, do not accept or use the Services.
1. Services and scope
Renvori provides software and related services that may include GarageOS garage management, customer and vehicle records, appointments, job orders, invoicing, accounting workflows, document capture, tax workflows, subscription administration, and enabled Renvori Payroll functions (collectively, the "Services"). Features may vary by plan, configuration, jurisdiction, or release stage.
Renvori may improve, replace, add, or retire features. A feature change does not silently expand Renvori's rights over Customer Data.
2. Customer account and authorized users
The Customer is responsible for keeping its organization, owner, billing, tax, and contact information accurate; designating authorized users; assigning appropriate roles; promptly removing access when a person no longer needs it; protecting credentials and MFA factors; and notifying Renvori promptly of suspected compromise.
You may not share individual credentials, bypass access controls, impersonate another person, or attempt to access another customer's workspace.
3. Customer Data and data processing
The Data Processing Terms are incorporated into these Terms where Renvori processes Customer-controlled personal information to provide the Services.
As between Renvori and the Customer, the Customer retains its rights in data, records, documents, and content submitted to the Services ("Customer Data"). The Customer authorizes Renvori to host, process, transmit, store, display, and otherwise handle Customer Data only as reasonably necessary to provide, secure, support, maintain, and improve the Services, comply with law, and enforce these Terms.
The Customer is responsible for having a lawful basis and any required notices or consents for Customer Data it collects or uploads, including information about its customers, employees, suppliers, and vehicle owners.
4. Payroll, accounting, tax, and regulated responsibilities
Unless a specific Renvori feature expressly states otherwise in writing, the Customer remains the employer and remains responsible for payroll authorization, employee classification, hours and earnings, taxable benefits, TD1 information, deductions, remittance and filing deadlines, CRA and provincial accounts, funding, employment-standards compliance, record retention, and review of payroll outputs before payment or filing.
The Customer also remains responsible for its accounting records, invoices, tax registrations, transaction facts, tax filings, and professional judgments. Automated calculations, classifications, reports, document extraction, and alerts assist the Customer but do not replace legal, accounting, payroll, tax, or professional review.
Renvori does not act as the Customer's lawyer, accountant, tax advisor, employer of record, bank, or government authority unless a separate written agreement expressly says otherwise.
5. Sensitive information
Do not place SINs, bank-account information, tax forms, authentication secrets, health information, or similarly sensitive records into general notes, ordinary uploads, test data, or locations not specifically designated for that type of information. Highly sensitive payroll data may be entered only through a designated secure workflow when that workflow is enabled for the Customer.
6. Fees, trials, taxes, and renewal
Paid Services are billed according to the offer shown to the Customer at checkout or otherwise agreed in writing. Where a trial is offered, the trial terms shown before activation apply. Unless the checkout or written order says otherwise, paid subscriptions renew automatically for successive billing periods until cancelled. Stripe may process payment methods, invoices, and cancellation administration on Renvori's behalf.
The Customer is responsible for applicable transaction taxes except taxes based on Renvori's net income. See the Subscription & Billing Policy.
7. Third-party services and integrations
The Services may rely on third-party infrastructure and integrations. Those providers may process information for defined purposes under their own terms and privacy obligations. See Service Providers & Subprocessors.
If VIN decoding, diagnostic, scan, or other external-data features are enabled, results may depend on third-party data, vehicle condition, hardware, connectivity, and user inputs. Such results are informational and must not be the sole basis for a safety-critical repair or legal conclusion.
8. Acceptable use
The Customer and its users must comply with the Acceptable Use Policy. Renvori may restrict or suspend access when reasonably necessary to protect the Services, other customers, affected individuals, or the integrity of data, or to address unlawful use, security risk, non-payment, or a material breach.
9. Confidentiality
Each party may receive non-public information of the other party that a reasonable person would understand to be confidential. Each party will use such information only for the relationship, protect it with reasonable care, and disclose it only to personnel, professional advisers, or service providers who need it and are subject to appropriate obligations, except where disclosure is required by law.
10. Intellectual property
Renvori and its licensors retain all rights in the Services, software, designs, documentation, trademarks, and technology, excluding Customer Data. Subject to these Terms and payment of applicable fees, Renvori grants the Customer a limited, non-exclusive, non-transferable right to use the Services for its internal business operations during the subscription term.
11. Service availability and support
Renvori works to provide reliable Services but does not promise uninterrupted or error-free operation. Maintenance, internet failures, third-party outages, security events, equipment limitations, and other circumstances may affect availability. Any specific service-level commitment must be stated in a separate written agreement.
12. Suspension and termination
Either party may terminate as permitted by the applicable subscription or written order. Renvori may suspend or terminate for material breach, unlawful use, serious security risk, non-payment, or where continued service would violate law. Where reasonably practicable, Renvori will provide notice and an opportunity to cure before termination for a remediable breach.
Following termination, access to Customer Data may cease. The Customer should export records it is required to retain before termination. Retention and deletion are governed by the Privacy Policy, applicable law, applicable backup or recovery cycles, legal holds, and legitimate security or dispute needs.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as available" basis. Renvori does not warrant that software output will be free of every error or suitable as the sole basis for legal, tax, accounting, payroll, employment, automotive-safety, or regulatory decisions. The Customer must review material outputs before relying on them.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenues, goodwill, or business interruption, arising from these Terms, even if advised that such loss was possible.
Except for amounts that cannot lawfully be limited, the aggregate liability of Renvori arising out of or relating to the Services will not exceed the fees paid or payable by the Customer to Renvori for the affected Services during the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability to the extent exclusion is prohibited by law.
15. Customer indemnity
The Customer will defend and indemnify Renvori against third-party claims arising from the Customer's unlawful collection or use of Customer Data, infringement caused by Customer Data, violation of the Acceptable Use Policy, or use of the Services in breach of law or these Terms, except to the extent the claim was caused by Renvori's own breach or wrongful conduct.
16. Notices and electronic contracting
The Customer agrees that contracts, notices, invoices, security alerts, and service communications may be provided electronically to the account, in-product, or to an authorized email address. Commercial marketing messages are governed separately by applicable anti-spam law and the Electronic Communications Notice.
17. Governing law and disputes
These Terms are governed by the laws of Manitoba and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to mandatory law, the courts located in Winnipeg, Manitoba have exclusive jurisdiction over disputes arising from these Terms. The parties will first make reasonable good-faith efforts to resolve a dispute directly.
18. Changes
Renvori may update these Terms to reflect legal, security, product, or business changes. Material changes will be communicated in a reasonable manner. When required, Renvori will obtain renewed acceptance. The version recorded at acceptance governs that acceptance event.
19. General
If a provision is unenforceable, the remaining provisions remain in effect and the invalid provision will be limited to the minimum extent necessary. A waiver must be clear and does not waive future enforcement. The Customer may not assign these Terms without Renvori's consent except as part of a bona fide corporate reorganization or sale of substantially all relevant assets where the assignee assumes the obligations. Renvori may assign these Terms as part of a merger, financing, reorganization, or sale of its business, subject to applicable privacy obligations.
